Terms of Service

Enterprise Software Subscription Agreement governing access rights, SLA commitments, billing terms, and data ownership protocols.

Acceptance of Terms

By activating an enterprise account on the UMMIGO ERP platform, you (the "Tenant" or "Enterprise Client") confirm that you have read, understood, and legally agreed to these Terms of Service. These Terms constitute a binding master services agreement between your enterprise entity and UMMIGO ERP Private Limited.

Platform Access & License Grant

UMMIGO ERP grants your enterprise a non-exclusive, non-transferable, limited license to access and operate the designated SaaS modules as specified in your active subscription package. This license grants:

Access to subscribed modules (POS, KDS, Inventory, Finance, HCM, etc.) for your designated outlets and registered users.
Right to configure product catalogs, employee records, and accounting structures within your isolated tenant environment.
Right to export your enterprise data in standard machine-readable formats at any time.

This license explicitly does not grant rights to sublicense, resell, or white-label the platform to third parties without a separate written reseller agreement.

Subscription Billing & Payment Terms

Monthly or annual subscription fees are due in advance on the designated billing cycle date.
One-Time Setup & Onboarding fees are non-refundable once implementation work has commenced.
Late payments beyond 7 days may result in temporary service suspension until outstanding balance is cleared.
Annual subscription plans locked upfront are non-transferable but include priority SLA support tier upgrades.
Price changes are communicated 30 days in advance via registered email and Admin Console notifications.

Service Level Agreement (SLA) & Uptime

UMMIGO ERP commits to the following enterprise infrastructure uptime guarantees:

Core Cloud Infrastructure: 99.99% monthly uptime SLA for all cloud database and API services.
Planned Maintenance Windows: Communicated minimum 72 hours in advance and scheduled during low-traffic periods.
Incident Response: Critical P1 incidents acknowledged within 30 minutes; resolution target within 4 hours.
SLA Credits: Service credits apply for verified downtime exceeding SLA thresholds as per enterprise SLA addendum.

Enterprise Data Ownership & Portability

All enterprise operational data (transaction records, employee files, financial ledgers) remains the exclusive property of the Tenant enterprise at all times. UMMIGO ERP acts as a data processor, not a data owner. Upon subscription termination, a 60-day data export window is granted before permanent deletion of enterprise records.

Prohibited Use & Fair Use Policy

Enterprise clients may not use UMMIGO ERP infrastructure for:

Processing fraudulent financial transactions or falsifying tax records.
Reverse-engineering, decompiling, or scraping platform APIs beyond documented usage limits.
Overloading API endpoints beyond agreed rate limits (10,000 requests/hour for Enterprise tier).
Sharing authentication credentials across multiple unauthorized users or external parties.

Termination & Contract Exit

Either party may terminate this agreement with 30 days written notice. UMMIGO ERP may terminate immediately for material breach, non-payment beyond 30 days, or violation of prohibited use policies. Upon termination, access is revoked and data export is available for 60 days.

Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising from this agreement shall be resolved through binding arbitration in Lahore, Pakistan, under the Arbitration Act before escalation to civil litigation.
